These Terms of Service govern the use of this website and the advisory services provided by Naataanii Consulting, LLC, a community strategy and program advisory practice based in Provo, Utah. By browsing the website, sending an enquiry or engaging our services, you agree to the terms set out below. Please read them carefully and ask us about anything that is not clear before you proceed.
We have written these terms in ordinary language because we prefer agreements that people can actually understand. If a sentence here conflicts with a signed engagement letter, the signed engagement letter controls for that engagement.

1. Acceptance of These Terms
By accessing this website or using our services, you confirm that you accept these terms and agree to comply with them. If you do not accept them, please do not use the website or engage the practice. Acceptance may be given by clicking an acknowledgement, by signing an engagement letter that refers to these terms, or by continuing to receive services after a revision takes effect.
These terms apply to every visitor, prospective client and client organization. Where a client organization authorizes an individual to act on its behalf, that individual confirms they hold the authority to bind the organization to these terms.
2. Our Services
Naataanii Consulting, LLC provides community strategy and program advisory services. The service line includes program planning circles, grant and funding guidance, organizational coaching, community needs assessments, board and team facilitation and reporting frameworks. The website describes these services for general information. A description on the website is not an offer, a guarantee of outcome or a commitment to provide a service on any particular schedule.
We reserve the right to decline an engagement where the request falls outside our competence, where a conflict of interest exists, or where the timing cannot be met honestly. We will say so plainly and, where useful, suggest another practice better suited to the work.
3. Eligibility and Authority
The website is intended for adults acting in a professional or community capacity. By using it, you confirm that you are at least eighteen years old and legally able to enter into a binding agreement. If you act for an organization, you confirm that the organization is validly formed and that you are authorized to accept these terms on its behalf.
We may ask for written confirmation of authority before beginning work, particularly where a public agency, tribal program or multi partner coalition is involved. This protects both sides and avoids later confusion about who can approve a scope change.
4. Engagement Letters and Scope
Every engagement begins with a written engagement letter. The letter names the services to be delivered, the anticipated deliverables, the calendar, the people responsible on each side, the fee and the assumptions on which the estimate rests. Work begins only after the letter is signed by both parties.
Requests that fall outside the agreed scope are handled through a short written change note. The change note sets out the additional work, the revised fee and the effect on the calendar, and work on the change begins only after both parties confirm it in writing. This practice keeps expectations clear and avoids the slow erosion of an engagement that nobody agreed to.
5. Fees, Invoicing and Payment
Fees are fixed per engagement or set as a monthly retainer, as stated in the engagement letter. We do not charge a percentage of grant awards, and we do not bill for time that was not agreed in advance. Invoices are issued at the start of a retainer period or on the schedule set in the letter.
Invoices are payable within thirty days of issue unless the letter states otherwise. Payments may be made by bank transfer or another method agreed in writing. Late amounts may carry a simple interest charge of one percent per month from the due date, applied only after a written reminder and a further fourteen days. Where applicable, taxes are added at the rate required by law. Travel and material costs are reimbursed only when pre approved and supported by receipts.
A retainer reserves a defined block of working time each month for the client. Unused time in a retainer month is banked for one month as described in the scheduling section, and it is not refunded in cash after that period. Fixed fee engagements are invoiced in two or three installments stated in the letter, typically at signature, at the midpoint review and at delivery. Where a grant deadline requires accelerated work, an expedited rate may apply; it is always quoted in writing and accepted before the work begins. Questions about an invoice should be raised within ten days of receipt so that any error can be corrected before payment falls due. We will not pause agreed work over a disputed line item while the dispute is being reviewed in good faith.
If an engagement is paused at the request of the client for more than thirty days, we may re-quote the remaining work to reflect the new calendar, and we will explain the change before any revised fee is accepted. Refunds are not issued for retainer months already delivered, but a client may ask us to apply unused banked time toward a later phase of the same engagement.
6. Client Responsibilities
Good advisory work depends on an active client. The client agrees to provide accurate and timely information, to designate a single point of contact with authority to approve decisions, to make staff available for agreed sessions and to respond to draft documents within the review period stated in the letter.
The client is responsible for the accuracy of its own program data, for obtaining any consent needed to share that data with us, and for the final decision on every plan, budget and submission. Our recommendations are advice, not a substitute for the judgment of the organization that owns the program. Where a delay in client input pushes the calendar, we will note the effect in writing and adjust the schedule together.
7. Scheduling and Cancellation
Sessions are scheduled by mutual agreement and confirmed in writing. We ask for at least two business days notice to move a session. A cancellation with less than two business days notice may be charged at half the session rate because the time has already been reserved.
If we need to move a session, we will offer a replacement date within fourteen days at no additional cost. Retainer clients may bank unused session time for one month, after which unused time lapses unless the engagement letter says otherwise.
Planning circles involve a small group and depend on everyone arriving prepared. When a circle session is missed by one participant, the session still proceeds and the absent participant receives the written record afterwards so that the circle does not lose its rhythm. Where a client reschedules the same session three times, we will ask for a short conversation about whether the scope, the calendar or the level of commitment needs to change.
Travel to a site outside Provo is arranged at least ten days ahead so that the visit can be combined with other meetings where possible. Travel time is included in the quoted fee when the location is named in the letter and is billed separately when a new location is added later.
8. Deliverables and Ownership
On full payment, the client owns the final documents produced specifically for it under an engagement, including plans, assessment reports, facilitation records and reporting templates. We retain ownership of our underlying methods, workshop designs, generic templates and internal tools, which may be adapted for other clients without disclosing confidential material.
Unless the client asks otherwise in writing, we may describe the general nature of an engagement in a short list of practice areas. We will never publish client documents, identifiable program details or outcomes without written permission.
9. Confidentiality
Each party agrees to keep the other confidential information private, to use it only for the purpose of the engagement and to protect it with reasonable care. Confidential information includes program plans, financial records, participant data and any material marked as confidential.
Confidentiality does not apply to information that is already public, that the receiving party already lawfully held, that is independently developed without reference to the disclosed material, or that must be disclosed by law or court order. If disclosure is compelled, the party subject to it will give prompt notice where the law allows. These obligations survive the end of an engagement for five years, and indefinitely for personal information about program participants.
10. Privacy and Personal Information
Our handling of personal information is described in the Privacy Policy, which forms part of these terms by reference. Where we process personal information on behalf of a client, we act as its processor under written instructions and return or delete the material at the close of the engagement.
The client confirms that it has a lawful basis for any personal information it shares with us and that it has given any notice required to the people concerned. We will notify the client without undue delay if we become aware of a breach affecting its data.
11. Acceptable Use of the Website
You agree to use this website lawfully and respectfully. You must not attempt to gain unauthorized access to any part of the site or its supporting systems, introduce malicious code, interfere with normal operation, scrape content at scale or use the contact form to send unsolicited commercial messages.
Content on the website must not be copied for commercial use, republished as your own or used to train a public model without written permission. We may suspend or block access where we have reasonable grounds to believe the website is being misused.
12. Intellectual Property
The website design, text, illustrations and code are owned by Naataanii Consulting, LLC or used under license. The name Naataanii Consulting, LLC and the practice identity are protected marks. Nothing in these terms transfers any of those rights to a visitor.
You may print or save pages for your own reference and share links freely. Any other reproduction requires written permission, which we are usually happy to give for educational or community use when asked politely.
13. Third Party Materials and Links
The website links to funder portals, partner organizations and reference resources maintained by other parties. Those links are provided for convenience and do not imply endorsement. We do not control third party websites and are not responsible for their content, availability or data practices.
Where we use third party tools in delivering a service, such as survey software or cloud storage, the client is informed in the engagement letter and may ask for an alternative where a reasonable one exists.
14. Disclaimer of Warranties
We deliver our services with reasonable skill and care and in line with the standards of our profession. Beyond that, the website and all services are provided as available, without further warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose and non infringement. The website is offered for general information. It does not create a professional advisory relationship on its own, and it should not be relied upon as a substitute for a signed engagement letter describing a specific piece of work. Sample language found on these pages is illustrative only and is not legal, financial or tax advice for any particular organization.
We test links and pages from time to time, but we do not warrant that every page will load without interruption, that every external link will remain live, or that the site will be free of errors in every browser and device. Where a technical fault prevents you from reaching us, the email address and telephone number printed on this page remain available and we encourage you to use them. Testimonials and descriptions of past work, where they appear, describe specific engagements and are not a guarantee of similar results for another organization.
We cannot and do not guarantee that a grant application will be funded, that a board will adopt a plan, that a program will meet a specific outcome or that a website will be free of every interruption. Advisory work improves the odds through better preparation and clearer thinking, and that is the honest limit of what any consultant can promise.
15. Limitation of Liability
To the fullest extent permitted by law, Naataanii Consulting, LLC will not be liable for indirect, incidental, special, consequential or punitive damages, or for loss of profit, loss of funding, loss of data or loss of goodwill, arising from the use of the website or the services.
The total aggregate liability of the practice for any claim arising out of an engagement is limited to the fees paid by the client for the services giving rise to the claim during the twelve months before the event. Nothing in these terms limits liability for fraud, willful misconduct or any liability that cannot lawfully be limited.
16. Indemnification
The client agrees to indemnify and hold harmless Naataanii Consulting, LLC and its team from claims, losses and reasonable legal costs arising from client materials that infringe the rights of another party, from personal information shared without a lawful basis, or from the client use of a deliverable in a way that was not contemplated in the engagement letter.
We will promptly notify the client of any such claim and will cooperate in the defense, at the client expense, as reasonably requested. The client may not settle a claim in a way that admits fault by the practice without written consent.
17. Termination
Either party may end an engagement with fourteen days written notice. The client pays for work completed and for non cancellable commitments made on its behalf up to the end of the notice period, and we deliver the work product produced to that point.
We may end an engagement immediately where the client fails to pay a due invoice after a written reminder, where the client asks us to act unlawfully or unethically, or where continuing would create a serious conflict of interest. On termination, confidential material is returned or destroyed at the client direction, subject to any retention duty described in the Privacy Policy.
18. Force Majeure
Neither party is liable for a delay caused by events beyond its reasonable control, including severe weather, natural disaster, public health emergency, network outage, civil disruption or an act of government. The affected party will notify the other promptly and both parties will work in good faith to reschedule.
If such an event continues for more than sixty days, either party may end the engagement on written notice and settle any fees for work already completed.
19. Governing Law and Disputes
These terms are governed by the laws of the State of Utah, United States, without regard to conflict of law rules. The parties agree to attempt to resolve any dispute through good faith discussion before pursuing formal action.
If discussion does not resolve the matter within thirty days, the dispute may be brought in the state or federal courts located in Utah County, Utah, and each party consents to the jurisdiction of those courts. Nothing in this section prevents either party from seeking urgent injunctive relief where necessary.
20. Changes to These Terms
We may revise these terms from time to time. The effective date at the top of the page reflects the current version. Material changes will be announced on the homepage and, for active clients, communicated by email before they take effect.
Continuing to use the website after a revision takes effect indicates acceptance of the revised terms. Engagement letters already signed remain governed by the version of these terms in force when they were signed unless both parties agree otherwise in writing.
